Terms of Service

These Terms are an agreement between you and Avitus Kashangaki Alex, an individual operating WithOpp while its company registration is completed ("WithOpp", "we") about using WithOpp BIs. By creating an account or using WithOpp, you accept these Terms and the Privacy Policy. If you do not agree, do not use WithOpp.
1. Who can use WithOpp
- You must be 18 or older.
- If you set up a business in WithOpp, you confirm you are authorised to act for that business. "You" in these Terms means you and that business.
- Team members you add also accept these Terms when they first sign in.
2. The service
WithOpp is an online business system: a till (which keeps working without internet), stock, purchasing, customers and debts, expenses, team, reports and business insights.
We may improve, change or remove features. We will not remove a core feature you have paid for during your current billing period without telling you and offering an alternative or a pro-rated refund.
3. Accounts and security
- Keep your account details accurate and never share your password. Each team member should have their own account.
- The business owner is responsible for what their team does in WithOpp and for giving each person the right role. Remove anyone who leaves straight away.
- Use WithOpp only for businesses you are authorised to act for, and never try to access another business's account or data.
- Follow the laws that apply to your business, and these Terms.
- If you think someone has accessed your account without permission, change your password and tell us immediately at withopp.bis@gmail.com.
4. Trial, plans and payment
- A new owner starts with a 60-day free trial. No card is needed.
- After the trial you choose a plan (Starter, Business or Enterprise). Each plan's price, limits and features, and how to pay, renew and cancel, are set out in the Subscription & Billing Terms and in Settings → Subscription, in Tanzanian shillings.
- Fees are paid in advance for each billing period. If we change prices, we will tell you at least 30 days before; the new price applies from your next period.
- Fees are not refunded for unused parts of a period, except where the law requires it, where we remove a core feature as described in section 2, or in the cases set out in the Refund & Cancellation Policy.
- The prices shown are the amount you pay WithOpp.
5. Late payment
If a period ends without payment, you keep full use of WithOpp for 14 days. After that WithOpp becomes read-only: you can sign in, see and get a copy of your records, but cannot record anything new until you pay. Your records are kept for at least 60 days. The Subscription & Billing Terms give the full details.
6. Your records belong to you
The business records you enter (products, sales, customers and so on) belong to your business. You give us permission to store and process them only to provide the service, as described in the Privacy Policy. The owner (and admins) can download a full copy of your records at any time in Settings → Your data, as CSV files that open in Excel or Google Sheets - even after the subscription ends or the business is closed. You confirm you have the right to enter your customers', suppliers' and staff's information into WithOpp, and that you have told them how you use it.
7. Tax, TRA receipts and the law
- WithOpp receipts are not TRA fiscal receipts. WithOpp is not a TRA-approved EFD or VFD.
- If your business must issue EFD/VFD receipts (for example, annual turnover of TZS 11 million or more, or VAT registration), you must keep issuing them through a TRA-approved device or system. Giving a WithOpp receipt instead of a fiscal receipt is an offence under tax law.
- You are responsible for your taxes, VAT returns, and keeping your records for at least 5 years as the law requires.
- Reports, calculated profit and business insights are tools to help you decide - not professional accounting, tax or legal advice. Check important figures before relying on them.
8. Selling without internet
- Sales made offline are stored on the device until the connection returns, then sent. Until then they exist only on that device.
- If the device is lost, damaged, or its browser data is cleared before the sales are sent, those sales can be lost. Connect devices to the internet regularly.
- Offline sales may differ from current prices or stock; WithOpp flags them for a manager to review.
9. What you must not do
You may not use WithOpp to:
- Carry out illegal activity, sell prohibited goods, launder money or evade tax.
- Record people's information without a lawful basis, or message them without their consent.
- Try to access an account or business that is not yours, test or break security, or deliberately overload the system.
- Copy, resell, or attempt to extract WithOpp's source code.
The full rules, and what we can do if they are broken (including restricting an account to read-only), are in the Acceptable Use Policy, which forms part of these Terms.
10. Availability and support
We work to keep WithOpp available at all times, but cannot promise it will never be interrupted. There may be maintenance, faults, or internet and provider problems. The till is built to keep working offline to reduce the impact.

11. Third-party services
- WithOpp relies on other companies to run (hosting, database, email). They are listed in the Privacy Policy and the Legal & Trust Center.
- Some features connect to services you choose yourself, such as mobile money providers, banks or payment gateways. Your use of those services is also governed by their own terms. We are not responsible for their service, fees or outages.
- Recording a mobile money or bank payment in WithOpp only records it. WithOpp does not move money unless a feature clearly says it does.
- We may add, change or replace these providers, and will keep the published list up to date.
12. Intellectual property
- WithOpp and everything that makes it up belongs to us or our licensors: the software and source code, its architecture and design, screens, documentation, the WithOpp name and logo, and the methods used to produce insights and reports.
- We give you a limited, non-transferable permission to use WithOpp for your business while your account is active and these Terms are followed. You may not copy, modify, resell or reverse-engineer WithOpp.
- Your business records are not ours. Nothing in these Terms transfers ownership of your data to WithOpp (see section 6).
- If you send us suggestions for improving WithOpp, we may use them without any obligation to you.
13. Ending the agreement
- You can stop using WithOpp and ask us to close your business or account at any time.
- We may end or suspend an account for a serious breach of these Terms, or where the law requires it. Non-payment does not lead to suspension: it is handled as described in section 5.
- After it ends, you have 60 days to get a copy of your records; then we delete them as described in the Privacy Policy.
14. Limits of liability
- WithOpp is provided "as is". We do not promise it will meet every need of your business or never contain errors.
- As far as the law allows, we are not liable for indirect loss such as lost profit, lost business, or data lost because of your own devices.
- Our total liability for all claims will not exceed what you paid us in the 12 months before the claim, or TZS 100,000 if you paid nothing.
- Nothing in these Terms limits liability that Tanzanian law does not allow to be limited.
15. Indemnity
You will protect us against claims by others that arise from you or your team using WithOpp against these Terms or the law - for example, recording someone's information without permission, or failing to issue fiscal receipts.
16. Changes to these Terms
We may change these Terms. For significant changes we will tell you inside WithOpp and ask you to accept them before continuing. If you don't agree with a change, you can stop using WithOpp and get a copy of your records.
17. Law and disputes
These Terms are governed by the laws of the United Republic of Tanzania. If there is a dispute, we will first try to settle it by discussion within 60 days. If that fails, it will go to the courts of Tanzania.
18. Language
These Terms are provided in English and Kiswahili. If they differ, the English version applies.
